Order Acceptance Policy

Your receipt of an electronic or other form of order confirmation does not signify our acceptance of your order, nor does it constitute confirmation of our offer to sell. Hardware and Tools Corp. reserves the right at any time after receipt of your order to accept or decline your order for any reason. Hardware and Tools Corp. reserves the right at any time after receipt of your order, without prior notice to you, to supply less than the quantity you ordered of any item. All orders placed over $500.00 ( USD ) must obtain pre-approval with an acceptable method of payment, as established by our credit and fraud avoidance department. We may require additional verifications or information before accepting any order. Hardware and Tools Corp. is a reseller to end user customers and does not manufacture any products.

Typographical Errors

In the event a product is listed at an incorrect price or with incorrect information due to typographical error or error in pricing or product information received from our suppliers, Hardware and Tools Corp. shall have the right to refuse or cancel any orders placed for product listed at the incorrect price or that is subject to an increase in price due to a duty or tariff being imposed. Hardware and Tools Corp. shall have the right to refuse or cancel any such orders whether or not the order has been confirmed and your credit card charged. If your credit card has already been charged for the purchase and your order is canceled, Hardware and Tools Corp. shall immediately issue a credit to your credit card account in the amount of the charge.

Risk of Loss

If the Customer provides Hardware and Tools Corp. with Customer's carrier account number or selects a carrier other than a carrier that would regularly ships the package for Hardware And Tools Corp., title to products and risk of loss or damage during shipment passes from Hardware And Tools Corp. to Customer upon shipment from the Hardware And Tools Corp. facility. Customer will be responsible for all shipping and related charges. For all other shipments, title to products and risk of loss or damage during shipment passes from to Customer upon receipt by Customer.

Sales Tax

Hardware and Tools Corp. collects sales tax in many States even though we are physically located in the State of West Virginia. This notice is for customers who take delivery in other States. We do collect sales in many States and will be noted in your cart at checkout. If we do not collect within your State, your purchases may be subject to use tax by your State, unless you are exempt from taxation. Your State may require customers to report their purchases that were not taxed and pay use tax on those purchases. Customers should check their State reporting requirements for tax forms to be used for this purpose.

Tax Exempt Status

Sales tax does not apply to purchases made by governmental agencies, State certified non profits, and products purchased for resale. Please see our online Tax Exempt Application.

You may place your order through our web site. If you have a login account with tax exempt status, the order will process without sales tax. If not, after you have placed your order, please submit the necessary information with the above form to receive a credit of any sales tax.

You will only need to submit this information to us once if you're ordering with us and have a sign in account. We will flag your account so subsequent orders placed on your account will not require you to resubmit.

Dispute Resolution


You and Hardware and Tools Corp. agree to resolve any controversy, dispute, or claim arising out of or relating to your purchase of any product or service from Hardware and Tools Corp. by binding Arbitration administered by the American Arbitration Association, or in a small claims court, and judgment on the arbitration award rendered by the Arbitrator(s) may be entered in a court having competent jurisdiction. This agreement to arbitrate is intended to be broadly interpreted and covers all controversies, disputes, claims arising out or relating to your purchase including, but not limited to contract claims, tort claims and statutory claims, or any combination of claims. We agree that the small claim proceeding will take place in The Magistrate Court,110 North George Street, Charlestown West Virginia.25414.

Any controversy or claim arising out of or relating to this contract, or the breach thereof, to be settled by arbitration will be administered by the American Arbitration Association in accordance with its Commercial Arbitration Rules and judgment on the award rendered by the arbitrator(s) may be entered in any court having jurisdiction thereof.

This Arbitration Agreement affects your legal rights. An arbitration is resolved by a neutral party and not a judge or jury. There is less discovery and less exchange of information between the parties to an arbitration than might occur in a court proceeding. An arbitration award is final and binding and will only be overturned or reversed by a court in very limited circumstances. You agree that, by entering into this Agreement, you and Hardware and Tools Corp. are each waiving the right to a trial by jury or to participate in a class action.
